Clinical Trials Quebec has developed a Support Service available via its website for any users, namely any potential patients located in Quebec (including their caregivers and/or legal representatives) and other members of the Quebec public looking for clinical trials conducted in Quebec.
Any access and any use of services by users must be in accordance with these terms of use and with the privacy policy. By accessing, using or consulting any service or content, each user acknowledges and agrees to be bound by these documents. If these are not acceptable to a user, such user must stop or refrain from accessing, using, and consulting the services and content.
1. DEFINITIONS AND INTERPRETATION
1.1 Definitions. The capitalized terms used in these Terms of Use have the meaning set forth below:

- Other Source refers to clinicaltrials.gov and any other public sites and/or sources providing information related to clinical trials.
- Content refers to the information and other content made available on the website or as part of the services.
- Permitted Purposes means the use of Services and the Content: (i) for information and non-commercial purposes; (ii) in accordance with these Terms of Use and the Privacy Policy; and (iii) for the purpose of identifying clinical trials, and obtaining information about them.
- Intellectual Property means any form of intellectual property recognized as such throughout the world and any right (including moral rights), title and interest in such intellectual property, including all: (i) patents, patent applications, continuations, continuations in part, divisional applications, reissues and re-examinations; (ii) any copyrights, copyright applications and copyrightable subject matters, registrations substitutions and extensions; (iii) trademarks, trade names, and their respective applications and registrations; (iv) other types of proprietary information thereof, and (v) trade secrets and know-how.
- Clinical Trials Quebec refers to CATALIS Quebec, a non-profit organization created under the Canada Not-for-Profit Corporations Act, S.C. 2009, c. 23, also doing business under the name of “Clinical Trials Quebec” and operating the present initiative under that name.
- Services refers to the support services available via Clinical Trials Quebec’s website and offered to users, including any functions and features of such Services.
- Website means the website of Clinical Trials Quebec, available at the following electronic address: clinicaltrialsquebec.com or, thereafter, at any other URL address.
- Site refers to any public hospital or any other trial site located in Quebec and participating in a clinical trial.
- User(s) refers to all potential Quebec’s patients (including their caregivers and/or legal representatives).
1.2 Interpretation. Unless the context requires otherwise, grammatical variations of any defined term herein bears a similar meaning and the singular includes the plural and the masculine includes the feminine, and vice versa.
2. SERVICES AND CONTENT
2.1 General. Clinical Trials Quebec makes available to users:
2.1.1 Services: The purpose of these Services is to assist Users in their preliminary search and identification of clinical trials. In this regard, the services allow users to request the assistance of Clinical Trials Quebec to conduct targeted clinical trial searches according to the following process:

- Users must select filters and criteria and provide certain other information, and then submit all such information to Clinical Trials Quebec via e-mail or by phone.
- Clinical Trials Quebec will review the information submitted and validate whether clinical trials corresponding to these criteria are available;
- If clinical trials matching these criteria are available, Clinical Trials Quebec will send the User the preliminary results identified for these potential clinical trials. These results will be transmitted in the form of a preliminary research report. If no clinical trial corresponding to these criteria is currently available, then Clinical Trials Quebec will also notify the user;
- Any User who receives a positive research report may then read it and discuss it with their family physician (or any other applicable health care professional), and then contact a Site to participate in a clinical trial if they wish to do so and if this is indicated according to their care trajectory; and
- Research results updates may be sent to the User for a period of about three months in the event that the User has subscribed to receive alerts if no result has been identified during the initial search.

2.1.2 Content. This content is intended to provide information related to the services and clinical trials to users.
2.1.3 Subscriptions to Alerts. These allow users to stay informed of new services or clinical trials available.
2.2 Fees. The services (including any reports) and content are provided for free.
2.3 Other fees. Usage fees charged by Users’ Internet operator or cellular provider shall apply independently and based on the use made of electronic devices (including all data consumption).
3. PROPERTY
3.1 Services and Content. Each user acknowledges and agrees:
3.1.1 that Clinical Trials Quebec owns all Intellectual Property and other rights, titles and interests in and to: (i) the Services (including the report template) and any Content (subject to the content from Other Sources); and (ii) any improvements thereto which may or may not benefit from separate Intellectual Property or other protection;
3.1.2 that in the absence of an express written agreement to this effect, these Terms of Use do not give the right to communicate, refer to or otherwise use the trademarks, trade names, corporate names, logos, domain names, and any other distinctive sign, symbol or name of Clinical Trials Quebec;
3.1.3 that the User can: (i) refer to the Services as long as this reference is accurate and is not prejudicial to Clinical Trials Quebec (including the initiative), the Services and Content; and (ii) include a hyperlink to the Services and Content if made in compliance with these Terms of Use (and, as applicable, with those applicable to any Other Sources);
3.1.4 that the User is prohibited from removing, hiding, blurring, concealing or changing any marking (such as “©”) or other notification associated with the Services (including any report) or with the Content;
3.1.5 that the User shall: (i) notify Clinical Trials Quebec should the User be made aware of any infringement or other violation of any Intellectual property rights of Clinical Trials Quebec; and (ii) assist Clinical Trials Quebec, at Clinical Trials Quebec’s expense, in connection with any steps undertaken to protect such Intellectual Property, or to stop and/or prevent any future infringement/violation.
Subject to User’s compliance with the Terms of Use, Clinical Trials Quebec grants each User a non-exclusive, royalty-free, revocable, non-transferable and non-sublicensable license to access and use its Services and Content (including any reports generated in connection with the services). Any access or use of content from an Other Source shall also be subject to the terms and conditions applicable to such Other Source.
3.2 Suggestions. Each user acknowledges and agrees that any comments, ideas and other suggestions brought to the attention of Clinical Trials Quebec in connection with the services (including any reports), the Website or the Content shall belong to Clinical Trials Quebec. Accordingly, each user assigns to Clinical Trials Quebec all of their rights, title and interest, and waives their moral rights in such comments, ideas and other suggestions.
3.3 Information Provided by Users. Any information provided by any user shall remain their property. Such user agrees, however, that Clinical Trials Quebec (and its subcontractors, where applicable) may use such information: (i) to perform the agreed-upon services; and (ii) to generate de-identified Personal Information that may be used (in an aggregated format to the fullest extent possible) for statistical and development purposes, for assessment and improvement of the Services, the Content and the Website and for any other purpose allowed under applicable law.
4. REPRESENTATIONS AND WARRANTIES
4.1 General. Each user represents and warrants:
4.1.1 that the Services and Content shall only be used for the Permitted uses;
4.1.2 that they shall not transfer or reproduce (in whole or in part): (i) the Services; or (ii) the Content, except for personal and non-commercial consultation purposes (and if the Content is from Other Sources, in accordance with the terms and conditions applicable to such Other Source);
4.1.3 that they shall not access, authorize access or help anyone access the Services by any means (automated or other) other than by using a commercial browser (such as Internet Explorer, Mozilla Firefox, Chrome and/or Safari), and shall not download a virus, Trojan horses or other malicious codes on the Services;
4.1.4 that they consent to the collection, use and communication of certain information as set forth herein and in the Privacy Policy;
4.1.5 that they shall refrain from: (i) transferring, creating derivative from, selling, lending, renting, sublicensing or otherwise assigning (in whole or in part) the rights and licence granted by Clinical Trials Quebec; (ii) encumbering the Services, any Content or any other right granted (in whole or in part); (iii) copying, changing, disassembling, engaging in reverse engineering or decompiling, deriving any source code, modifying or otherwise extracting, by any means whatsoever, any source code; (iv) distributing or making the Services, the Content and/or the Website (in whole or in part) available to any person or on any network, platform or other means allowing their use by several devices at the same time; or (v) using or operating the Services, the Content and/or the Website (in whole or in part) in a manner that impedes or interferes with the Services or Clinical Trials Quebec, or for any purpose other than the Permitted Purposes; (vi) use the Services, the Website and/or the Content (in whole or in part) in such a way as to harass, or otherwise harm, any person; or (vii) attempt to do any of (i) through (vi); and
4.1.6 that the access to or use of services, the Website and/or the Content has not already been prohibited or otherwise limited in the past by Clinical Trials Quebec or otherwise.
4.2 Essential Terms. The rights and licences are granted on the basis of such representations and warranties which are an essential condition thereof. If any of these representations and warranties is no longer accurate or enforceable, then any user must stop accessing and using the services, the Website and the Content.
5. INDEMNITY AND LIABILITY
5.1 Users’ Liability. Each user shall be responsible for their own acts and omissions (such as any use of the services, including any reports, and the content) and their failure to comply with applicable legal and contractual obligations (including those set forth in these Terms of Use and the Privacy Policy).
5.2 Limitation of Liability. Even if the Services and Website were created using technologies of merchantable quality, any technology – like any other service/provision of service – is never infallible or fully sheltered from unforeseeable events, cyberattacks (and other illegal acts) or other failures. Similarly, Clinical Trials Quebec points out that the services (including any report), the Website and the Content were not created to meet users’ specific needs. Likewise, it may be possible that no clinical trial be identified by Clinical Trials Quebec when conducting a search (depending on the moment when such research is conducted and/or the criteria selected). Finally, Clinical Trials Quebec points out: (i) that any content and any service (including any reports) are provided for information purposes, should not be used for self-diagnosis purposes or seen as providing interpretation, prognoses, opinions, declarations or medical recommendations, and do not replace the advice of health care professionals; (ii) that any Content and any reports have been prepared using reasonable efforts to ensure their accuracy, it being understood that such Content and report – like any other information – may be or become inaccurate or out of date; and (iii) any Content from any Other Source is reproduced “as is.”
As such, and to the fullest extent permissible under applicable laws, Clinical Trials Quebec: (i) disclaims, with respect to the services (including any reports), the website and all content, any representation and warranty, whether explicit or implied, oral or written with respect to (a) the communication, use and relevance for a particular purpose; (b) their uninterrupted, continuous, bug-free or error-free use; (c) the fact that they will be accessible without delay; and (d) their compliance, other than the criteria provided in these Terms of Use; and (a) communication use and suitability for a particular purpose; (b) uninterrupted, continuous and error-free use; (c) availability at all times and without delay; and (d) compliance with criteria other than those set forth in these Terms of Use; and (ii) points out that the Services and Content are provided “as is” and “as available.”
To the fullest extent permitted by law, Clinical Trials Quebec: (i) makes no representations or warranties with respect to the search results (including the number of results and the information available about each clinical trial); and (ii) disclaims all liabilities regarding: (a) the Services (including any reports), the Website and the Content; (b) any damage caused to electronic devices, including repairs and maintenance services; and (c) any Other Source, including hyperlink to third-party sites and applications.
5.3 Essential Term. Each user understands that this Section 5 constitutes essential terms of the rights and licence it has been granted.
6. TERM AND TERMINATION
6.1 Effective Date. These Terms of Use shall apply to each user upon such user’s acceptance or otherwise commencing access to the Services or Content, and shall continue to apply for as long as such user accesses/uses the Services and Content (including any reports) and/or the Website.
6.2 Termination. Clinical Trials Quebec may at any time terminate access to the Service, the Website and/or the Content. Similarly, any user may stop accessing and using the services, the Website and Content at their discretion and without further formality. Following any termination, each user shall remain bound by any provision set forth herein that, by its nature, shall continue to apply, including those set forth in Section 3 (Property), Section 4 (Representation and warranties), Section 5 (Indemnity and liability) and Section 7 (Miscellaneous provisions).
6.3 Suspension. Instead of terminating access to the Services and Content, Clinical Trials Quebec reserves the right to limit, restrict or suspend, in whole or in part, their use or access, if they are defective (until such situation has been addressed) or for any reason (for any period of time deemed reasonable).
7. OTHER PROVISIONS
7.1 Entire Agreement. These Terms of Use constitute, with the Privacy Policy, the entire agreement relating to the access and use of the services (including any reports), the Website and the Content (subject, however, to the terms that may be applicable to Content of Other Sources). Each user confirms that the Privacy Policy (that was expressly brought to their attention through various hyperlinks) was reviewed and understood.
7.2 Amendments. Clinical Trials Quebec may change these Terms of Use. Such changes shall be notified by means of a pop-up window, banner or any other manner considered as acceptable by Clinical Trials Quebec. Users who are not in agreement with these amendments should stop accessing and using the services, the Website and Content before these amendments come into effect; any subsequent access or use shall be deemed to constitute acceptance of these amendments. The Privacy Policy may also be amended (in the manner provided therein).
7.3 Severability. In the event that any provision is in conflict with any law or is otherwise unenforceable, then such provision shall be severable from the remaining provisions, and shall be deemed rewritten so as to be valid and enforceable while preserving, to the greatest extent possible, its original intent and scope.
7.4 Hyperlinks to Third-Party Sites and Applications. The website, the Content and/or the Services (including any reports) may include hyperlinks to Other Sources, including third-party websites. Clinical Trials Quebec points out that these hyperlinks are provided only for information purposes and that it does not endorse and has no control over the content or the information to which these hyperlinks expose those who consult them. Clinical Trials Quebec disclaims all liabilities in connection with these Other Sources. Any decision made regarding these websites is at users’ sole discretion, and Clinical Trials Quebec points out the importance of carefully reviewing the conditions of use and privacy policies applicable to these websites.
7.5 Force Majeure. Clinical Trials Quebec shall not be held liable for damages caused by a force majeure event.
7.6 Non-Waiver. Clinical Trials Quebec’s delay or failure to require that any users comply with any of the provisions of these Terms of Use in no way affects its right to require that such user comply therewith subsequently, and any waiver of such compliance shall be made in writing and shall not be construed as a waiver of compliance with that provision at any other moment or under any other circumstance.
7.7 Notice. Any notice sent to Clinical Trials Quebec: (i) shall be made in writing and be sent by registered or certified mail, personally delivered, or sent by e-mail (with confirmation of transmission); and (ii) shall be deemed to have been received on the day on which it was delivered or the date on the confirmation (of transmission or delivery) if it is received on a business day before 5:00 p.m. at the address provided hereinafter, otherwise it shall be deemed to have been received the following business day: 360, St. Jacques, Suite G-100 Montreal (Quebec) H2Y 1P5.
7.8 Applicable Laws. These Terms of Use, as well as any access, use and consultation of the Services and Content are governed by the laws in force in the Province of Quebec excluding any rules or principle that could lead to the application of foreign provisions. Any disputes that cannot be settled through direct, good faith negotiations shall be submitted to the courts of the Province of Quebec, which shall have exclusive jurisdiction to settle such dispute.

2.DEFINITIONS AND INTERPRETATION

- Authorized Subcontractor means any person directly or indirectly assisting Clinical Trials Quebec in the development or provision of the services, the Content and/or the Website and who needs to know certain data (including Personal Information) in order to carry out their mandate/services agreements.
- Cookies means small text files that are placed on the hard drive of devices, where applicable, when a user accesses or uses the services, the Content or the Website, and which may be either temporary (and disappear when those devices are shut down) or permanent (and remain on the browser even after these devices have been shut down).

3. COLLECTION AND USE OF PERSONAL INFORMATION
In order to provide the agreed-upon services, Clinical Trials Quebec will collect and process information about users, including Personal Information. Data will also be collected in the event that users contact Clinical Trials Quebec in connection with any request, suggestion or comment. Finally, Clinical Trials Quebec and its Authorized Subcontractors will be able to collect information in connection with the use of the services. In any case, Personal Information is collected and processed for the sole purposes described in this Privacy Policy.
3.1 Information Obtained Directly From Users
3.1.1 Use of the Services: In order for Clinical Trials Quebec to provide the agreed services, including any reports of research results, each user shall provide Clinical Trials Quebec with their first name, last name and contact information, including an e-mail address. In addition, each user shall select: (i) certain filters, including the type of disease and clinical trial searched for; and (ii) certain categories of information, including User’s gender and age group. Finally, any user will be required to provide certain additional information (e.g., the relevant city). The collection and processing of such Personal Information are required to provide the services.
3.1.2 Subscription to Alerts: When a User registers to receive alerts about clinical trials, they must provide their first name and last name and e-mail address to Clinical Trials Quebec. Such Personal Information is required to enable Clinical Trials Quebec to send research results update. Depending on the type of alert requested, a user may have to provide additional Personal Information; this will be brought to User’s attention before this information is collected, and such User may request at any time to be withdrawn from any alert, the whole as more fully set forth in Section 7.2.2 below.
3.1.3 Comments, Questions and Requests for Information: In the event that a User contacts Clinical Trials Quebec to obtain information about the services or on any other subject, such user will be required to provide some Personal Information (e.g.: their name and e-mail address). Such user may also provide additional Personal Information, such as their opinion. This information is required to allow Clinical Trials Quebec to respond to User’s communication. Such Personal Information may also be used for any Other Purposes.
3.1.4 Social Media: Clinical Trials Quebec uses social media platforms, such as Twitter and LinkedIn, allowing any person to follow Clinical Trials Quebec (or its initiative) and to add Clinical Trials Quebec to their list of contacts. In such a case, Clinical Trials Quebec will have access to that person’s Web pages and profiles in accordance with the selected settings, as more fully detailed in the privacy policies and terms of use applicable to these platforms. Clinical Trials Quebec will also receive notification and access to « tweets », to any link and/or to any other publication in which Clinical Trials Quebec is identified. All persons must review the privacy settings applicable to their accounts/pages in order to validate the information to which his contacts have access and to limit that access, if necessary. Clinical Trials Quebec may wish to use some of the information available on accounts or pages for Other Purposes; if so, such information will first be transformed, previously, into De-identified Information.
3.1.5 New Services: If new services features or new Services are made available, the collection and processing of additional Personal Information could be required. In such a case, Clinical Trials Quebec will notify the user concerned of this change in accordance with Section 8.2 below.
3.2 Information Collected Through Google Analytics and Cyberimpact
Google Analytics may collect data on the interactions of any user with the services, the Website and the Content. This information will then be processed and updated each time a user interacts again with the said services. For this purpose, Google Analytics will place codes on the services, the Website and the Content, which will allow Google Analytics to see the information that was consulted, and the browser, device and the system used. Likewise, Cyberimpact may be used to obtain information on the communications sent (including those consulted and the time spent consulting them). The information thus collected will be in a de-identified format and may be used for Other Purposes.
3.3 Information Collected Through Cookies and Other Forms of Technology
When a user access or uses the services, certain data, including Personal Information (including Personal Information), may be collected through automated means. This information includes information on the browser used, the Internet Protocol address and the interactions that took place. This collection will be carried out by the following cookies:

4. SHARING/COMMUNICATION OF PERSONAL INFORMATION
Clinical Trials Quebec does not sell or otherwise commercialize Personal Information. In addition, Personal Information is not shared with third parties, and is not used for purposes other than those: (i) described in this Privacy Policy; (ii) required or authorized by law; and (iii) to which the relevant Users have valid consent.
4.1 Personal Information
4.1.1 Sharing Taking Place as Part of the Provision of the Services: Personal Information may be disclosed to Authorized Subcontractors who assist or facilitate the provision of services, the Website or the Content. Any disclosure will be limited to Authorized Subcontractors who need to know the information and will be conducted in accordance with applicable legal requirements.
4.1.2 Transaction or Corporate Reorganization: Certain Personal Information may be made accessible to any third parties in connection with a transaction or a corporate reorganization if such communication is: (i) necessary to proceed with the transaction or corporate reorganization; (ii) carried out in such a way as to preserve the confidentiality of the Personal Information; and (iii) carried out in accordance with legally prescribed requirements where applicable.
4.1.3 Legal Compliance: Personal Information may be used and disclosed if Clinical Trials Quebec, acting reasonably, believes that such a use or disclosure is necessary: (i) to comply with the applicable laws, with a legal proceeding or with a government request; (ii) to protect its rights; or (iii) to achieve any other objective set forth in the applicable laws authorizing or requiring the disclosure of Personal Information. Clinical Trials Quebec may also use, disclose or otherwise deal with any Personal Information as permitted by law, including for any Other Purposes.
4.2 De-identified Information
Users acknowledge and agree that De-identified Information (e.g., information that excludes their names or other identifiers) may be created from Personal Information and used and otherwise processed for any Other Purposes. Clinical Trials Quebec will take reasonable measures to limit the risks of anyone identifying a user from De-identified Information.
5. SECURITY MEASURES AND PRIVACY INCIDENTS
5.1 Security Measures. Clinical Trials Quebec has implemented measures to ensure the protection of Personal Information that are reasonable in light of the sensitivity of the information, the purpose for which it is to be used, its quantity, its distribution and its medium. To this end, Clinical Trials Quebec has put in place the following measures:
5.1.1 Limited Access: Subject to applicable laws, access to Personal Information is given to only employees, Clinical Trials Quebec representatives and, if necessary, Authorized Subcontractors, who need to know such information and following the implementation of appropriate measures.
5.1.2 Privacy Impact Assessment: Clinical Trials Quebec has conducted a privacy impact assessment for the services that was proportionate to the sensitivity of the Personal Information concerned, the purpose for which it is used, the quantity and distribution of the information and its medium. Clinical Trials Quebec will do the same as additional services and functionalities are added and when otherwise required by law.
5.1.3 Securing Data in Transit: Every time a User sends a request as part of the services, an HTTPS protocol is used to transfer the information, and the Secure Sockets Layer (SSL) technology protects the Personal Information using server authentication and data encryption. The activation of the technology may be confirmed by observing: (i) the browser toolbar, which will display depending on the browser a padlock on the left of the website address (URL); and (ii) the URL address or the browser address bar, in which the first letters should go from “http” to “https.”

5.2 General Considerations and Limitations. Even if the services and website were created using technologies of merchantable quality, any technology – like any other service/provision of service – is never infallible or fully sheltered from unforeseeable events, cyberattacks (and other illegal acts) or other failures, and users must be aware that there is a risk in transmitting any data electronically. Consequently, clinical trials Quebec cannot guarantee that such data (including personal information) will never be intercepted or subject to other incidents. Furthermore, events affecting devices and systems (including those leading to their access and to their control) may occur, and undesirable communications and invitations may be received.
